Service: The basic Project Management, Expense Tracking, and Invoice Creation software platform provided by Sathuram Software Services (OPC) Private Limited.

Client/Tenant: The company or organization that enters into an agreement with Sathuram Software Services (OPC) Private Limited to use the Service.

User: Any individual authorized by the Client/Tenant to use the Service (e.g., employees, contractors).

Client Data: All electronic data, content, information, and materials submitted to and stored within the Service by the Client or its Users, including project details, expenses, and invoice records.

Subscription: Access to the Service is provided on a subscription basis (the "Subscription") for a specified term.

Fees: Client agrees to pay the Subscription fees set forth on the pricing page or as otherwise agreed upon. All fees are non-cancellable and non-refundable unless otherwise stated in the Cancellation & Refunds Policy.

Auto-Renewal: Subscriptions will automatically renew for subsequent periods unless the Client disables auto-renewal or terminates the Subscription prior to the renewal date.

Credentials: Clients are responsible for maintaining the confidentiality of their account and user credentials and are liable for all activities that occur under their account.

Ownership: Client retains all rights, title, and interest in and to all Client Data. We acquire no rights to Client Data, other than the right to use it solely for the purpose of providing the Service to the Client and its Users.

Use of Data: We shall not use Client Data to contact third parties, advertise, or for any purpose other than providing, securing, and improving the Service as authorized by the Client.

The Client agrees not to misuse the Service. Misuse includes, but is not limited to:

• Using the Service to store or transmit illegal, harassing, or defamatory content.
• Attempting to interfere with the integrity or performance of the Service.
• Circumventing any security or access control measures.
• Sharing or providing access to the Service to unauthorized third parties.

Termination by Client: A Client may terminate its Subscription in accordance with the Cancellation & Refunds Policy.

Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach the Terms, including non-payment of fees.

Data Retention: Upon termination, we will make Client Data available for download for a limited period (e.g., 30 days). After this period, we reserve the right to delete all Client Data in accordance with our data retention policy.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in Chennai, Tamil Nadu shall have exclusive jurisdiction to entertain, try, and determine any and all disputes arising out of or in relation to this Agreement.
